What is a Nevada Registered Agent?


If you’ve only recently learned that registered agents exist, you’re not alone. Most people don’t know what a registered agent is until they form a company with the state. We’ll go over what you need to know.

A registered agent is basically a representative who accepts state and legal documents from the state on behalf of your business. This can include:

  • service of process, such as lawsuits or court summons
  • tax notifications (for example, if you owe taxes to the state)
  • reminders to file your Nevada Annual Report (also called an Annual List)

After receiving your documents, your registered agent delivers them to you as quickly as possible.

Do you need a Nevada registered agent?

Appointing a registered agent for your Nevada LLC or Nevada Corporation is required by state law. In fact, if you don’t list a registered agent on your company formation paperwork, your application will be rejected. So, you need to have a registered agent before you file your Articles of Organization or Incorporation.

On a practical level, having a registered agent helps ensure that:

  • the state can always deliver important notices to your company
  • you receive important documents quickly
  • your company avoids the negative consequences of failing to receive a notice or receiving late notices

As long as your company is in business, you need to have a registered agent.

What happens if you don’t have a registered agent?

If you don’t maintain a registered agent after forming your company, you’ll be in violation of state law.

The penalties for non-compliance can vary.

Corporations: According to Nevada Revised Statutes (NRS) 78.090.3, corporations that fail to maintain a registered agent are subject to a fine of at least $100 but not more than $500.

LLCs: Consequences for LLCs are less clear but potentially more serious. NRS 86.246.3 states that “the Secretary of State may take any action necessary” against a non-compliant LLC, including suspension or forced dissolution of the company.

Additionally, not having a registered agent could cause your company to:

  • Miss or receive critical notices late, resulting in legal complications
  • Lose the ability to sue the state or another company
  • Lose your good standing with the state, which could prevent you from registering to do business in other states or secure funding through grants and loans

What are the options for registered agent in Nevada?

Most business owners choose to act as their own registered agent or to hire a registered agent service. However, you can also appoint an employee with a physical address in Nevada or another business connection, such as a lawyer.

What are the requirements for a registered agent in Nevada?

You can designate a person or a company that provides registered agent service as your registered agent in Nevada. Agents who make a business out of providing registered agent service, both companies and individuals, are called commercial registered agents.

All registered agents are required to have a physical street address (not a PO box) in Nevada where they can receive documents during regular business hours.

Non-Commercial Registered Agent

Non-commercial agents don’t need to be registered with the NV SOS.

  • Must be at least 18 years old
  • Must be a Nevada resident

Commercial Registered Agent Service

Must be registered as a Commercial Registered Agent with the SOS. On their registration, they must provide:

  • Their full legal name as filed with the NV SOS
  • All DBAs, fictitious firm names, websites/domain
  • The name and contact info of the individual with decision-making power in the day-to-day running of the agency
  • A declaration that no director, manager, or officer of the agency has been convicted of a felony.

Can you act as your own registered agent?

You are allowed to act as your own registered agent as long as you have an address in Nevada where you are available to accept documents during normal business hours. You’ll have to list your name and the address where you’ll be available on your formation paperwork.

Nevada Registered Agent FAQs
