What Is a Nevada Foreign LLC?


A foreign LLC (FLLC) is an LLC that was formed in one state (its “home” state) and registers to do business in another state, where it is considered “foreign,” since each state has different state laws. So, if your out-of-state LLC is registered to do business in Nevada, that’s a Nevada foreign LLC.

The process of registering your FLLC is called foreign qualification.

Do You Need To Register Your FLLC?

If you’re doing business in Nevada as an out-of-state business, you’re required to register your foreign LLC with the NV SOS.

What Happens If You Do Business In Nevada Without Registering?

Doing business in the state without registering is considered a violation of state law (Nevada Revised Statutes 86.544).

If you’re found to have purposefully failed to register with the state, you may be taken to court by the Attorney General and charged with a steep fine—no less than $1,000 but no more than $10,000 (NRS 86.584).

What Is Considered “Doing Business” In Nevada?

The state of Nevada considers any activity that your LLC engages in for profit that requires the owners of your company to file taxes with the IRS. So, if you’re making enough money to claim your profits on a tax return, you need to register your LLC.

The NRS also defines what is not considered doing business, such as:

  • Holding meetings in Nevada
  • Maintaining bank accounts
  • Selling through independent contractors
  • Owning property
  • Maintaining or defending a lawsuit

Guide to Registering a Foreign LLC in Nevada


Ready to start operating your LLC in Nevada? If you’re filing on your own, here’s what you need to do.

1. Before You Register

Find out if your LLC name is available in Nevada:

You cannot register a name already in use in Nevada. To determine the availability of your LLC name, you can use the Nevada Business Search.

If your name is already in use, you’ll need to select a different name to register with the Nevada Secretary of State. No matter what, your name must include an entity identifier such as “Ltd,” “LLC,” or “Limited Liability Company.”

When you register under a different name, you’ll list the name you’ll use in Nevada under the section “Name Being Registered In Nevada” on the registration form and your legal business name under “Foreign Entity Name.”

Appoint a Nevada registered agent:

All foreign business entities are required to appoint a registered agent with an office that is physically located in the state of Nevada. Your Nevada registered agent must be able to accept service of process and other official business mail on behalf of your LLC from the state government.

2. File Your Registration Documents

When registering your Nevada FLLC, you’ll need to file an Application for Registration of Foreign Limited Liability Company, along with an Initial List of Members and Nevada State Business License Registration.

All three of these forms are packaged together in the Formation – Limited Liability Company packet (the same form is used for domestic LLC formation and foreign LLC registration).

Filing timeline:

You can submit and pay the fees for all of these filings at the same time. However, if you’re not ready to file your Initial List, you have until the end of the month after you file your Application for Registration to submit your Initial List and Business License Registration. So, if you file your Application in May, you have until June 30th to file the rest of your paperwork.

Application for Registration:

On your application, you’ll need to list the following information:

  • LLC Name (if you’re using a different name in Nevada, you’ll list both your Nevada business name and your legal business name in your home state)
  • Jurisdiction of Formation
  • Registered agent’s name, street address, and signature
  • Manager names and addresses (your managers may or may not be LLC members)
  • The name, address, and signature of your organizer (the individual who completes and files your articles)

Initial List and State Business License:

The same form is used for your Initial List and State Business License Registration, but you will pay a fee for each.

Your Initial List of Members or Managers lists the names and addresses of your initial members or, if your LLC is manager-managed, the names and addresses of your initial managers.

The State Business License is a general business license that allows you to operate in Nevada. Depending on your business, you may also need to get professional licenses or other permits to operate legally in Nevada (for example, a medical license or liquor license).

NV FLLC Maintenance: Your Annual Report


Like domestic LLCs, FLLCs operating in Nevada must file an Annual Report every year to make sure that the state has up-to-date information on file for all LLCs.

About the Nevada LLC Annual Report (List):

The Nevada annual report is called the Nevada Annual List. The Annual List is an updated version of the Initial List that you file when registering your FLLC. You’ll also need to renew your State Business License each year.

As with your Initial List and State Business License Registration filings, your Annual List and State Business License Renewal need to be filed together, and you need to pay the fees for both at the same time.

Your Annual List Due Date:

The due date for your Annual List is the last day of your company’s anniversary month. For example, if your FLLC was registered in Nevada in September 2024, your first Annual List is due September 30th, 2025. Then your Annual List filing is due by the end of September each year after that.

Your LLC will receive reminders from the state as your due date approaches.

You can find your Annual List due date by looking up your business using the Nevada Business Search. Select your company from the search results to access your FLLC’s Entity Information page. There, you’ll see your Annual List due date listed alongside basic information about your company, like its name, entity number, and jurisdiction of formation.

How to File Your Annual List:

Penalties for Late and Missing Filings:

Late fees:

You’ll be charged a $75 late fee for your Annual List and a $100 late fee for your Business License, for a total late fee of $175 if you don’t file by the end of the day on your due date.

When you submit your late filing, you’ll have to pay the $350 filing fee plus the $175 fee, for a total of $525 (plus the credit card processing fee, if applicable).

Losing your ability to do business:

In addition to late fees, you may also face administrative consequences:

  • Your Annual List is overdue Your LLC is placed in “Default” status
  • After one year of being in Default status Your LLC’s right to do business in NV may be revoked
  • After two years of being in Default status Your LLC’s right to do business in NV will be revoked

Nevada FLLC FAQs


To register a Nevada FLLC, you must file and pay the fee for an Application of Registration ($75), an Initial List of Members/Managers ($150), and a Nevada State Business License ($200) plus an $11 credit card processing fee, for a total of $436.

All FLLCs must get a State Business License ($200) as part of their registration filing. This license must be renewed every year when filing your Nevada Annual List (known as an Annual Report in many states).

Additionally, if you work in an industry that is regulated by a state agency, you’ll likely also need a professional license—for example, an attorney’s or barber’s license. You may also need specific permits or licenses based on the type of business you run, including liquor licenses or event permits.

Nevada’s Annual Report is called the Annual List. Every Nevada FLLC is required to file an updated Annual List of the LLC’s members or managers ($150) and to renew their Business Registration ($200) each year.
