All businesses registered with the Nevada Secretary of State—domestic and foreign—must file a Nevada Annual List (also known as an Annual Report) and renew their State Business License each year.

What is the Nevada Annual List?


The Annual List is an updated version of the Initial List that you file when forming your company. By filing your Annual List each year, you make sure that the state of Nevada has a current record of your company management or members.

What information goes on the Annual List?

Basically, your Annual List contains the same information provided on your Initial List, but updated to reflect any management or membership changes.

  • All companies are required to list their business entity name and Nevada business ID or entity ID number. The signature and title of the person filing the annual list are also required (this can be someone you’ve authorized to file on your behalf if you hire someone to file for you).
  • LLCs must list the names and addresses of the LLC’s members (if the LLC is member-managed) or the LLC’s managers (if the LLC is manager-managed).
  • Corporations must list the names and addresses of their directors or officers.

Is Business License Renewal part of the Annual List?

You take care of your Annual List and State Business License Renewal at the same time. The form you’ll submit to complete your Annual List filing is called the Amended/Annual List and State Business License Application.

All you need to do is pay the renewal fee for your license along with the filing fee for your Annual List when you file the application, and your State Business License will be renewed.

Guide To Filing Your Nevada Annual List


Filing your Annual List yourself? Here’s what you need to do.

1. Find Your Nevada Annual List Due Date

The due date for your Nevada Annual List is the last day of your company’s anniversary month (the month your company was formed).

To find your due date:

a. Search for your business using the Nevada Business Search.
b. Select your company from the search results.
c. On the Business Information page under “Entity Information,” you’ll find your Annual Report Due Date. If you’ve already filed your Annual List for the year, you won’t see a due date.

You can file up to 90 days prior to your due date.

2. Figure out Your Annual List & State Business License Fees

The filing fee for your Annual List and your State Business License renewal varies according to the type of business entity you own, and if you own a corporation, the value of your total authorized stock.

Refer to the instructions on the Amended/Annual List and State Business License Application or our Cost Breakdown chart below to calculate your fee. For example, if you own an LLC, you’ll pay $350 in fees. If you own a corporation with $1,500,050 total authorized stock, you’ll pay $1,125.

3. Submit Your Application & Business License Renewal

You can print off a PDF version of the Amended/Annual List and State Business License Application and file your Annual List by mail or deliver it in person to the Secretary of State’s Office.

You can also file online using the NV SOS’s SilverFlume Business Portal. Simply register to create an account.

When filing, you’ll need to pay your Annual List and Business License renewal fees. When paying by card, you’ll have to pay a 2.5% payment processing fee as well.

What Happens If You Don’t File Your Annual List & License Renewal?

Failure to submit your Annual List and review your State Business License on time can result in late fees and administrative consequences for your business.

Late Fees:

If you fail to file your Annual Report by the close of business day on your Annual List due date, you must pay a $75 late fee when you do file.

Failing to renew your State Business License means that a $100 fee will be attached to your Annual List late fee for a total late fee of $175.

So, if you own an LLC, you’d need to pay $350 in filing fees plus $175 in late fees, for a total of $525.

Additional Penalties for Failing to File an Annual Report:

When your Annual List isn’t filed before the deadline, your company will be placed in “Default” status.

  • After one year of being in “Default” status, it’s possible that your right to do business can be revoked.
  • After five years of being in “Default” status, your company will be administratively dissolved by the state.

Additional Penalties for Failing to Renew a State Business License:

If you don’t renew your State Business License and continue to conduct business in Nevada, you may be subject to a fine of no less than $1,000 and no more than $10,000.

Your Nevada Annual List and State Business License Renewal Fees will depend on the type of business entity you own. And if your company is a corporation, your Annual List fee will vary according to the value of your total authorized stock.

Nevada Annual List FAQ


Business entities that are formed by filing with the NV Secretary of State (LLCs, corporations, non-profits) and out-of-state companies registered to operate in Nevada are required to file an Annual Report (called an Annual List) in Nevada each year.

Along with the Annual List, all domestic and out-of-state business entities operating in Nevada must renew their State Business License every year.

The only information you can update on your Annual List is the list of your directors/officers/managers/members, including their names and addresses.

It typically takes 3-5 business days to process your filing. However, you can pay an additional fee to have your filing expedited. The fees are $125 for 24 hour processing, $500 for two hour processing, and $1000 for one hour processing.

If you fail to file by the deadline, you’ll need to pay a $175 late fee along with the regular fees when filing your late report. If your Annual List and State Business License are not filed and renewed for a length of time, you could face additional fines and administrative dissolution of your company.
