Why Change Your Nevada Registered Agent?
There are a variety of reasons you may need a new Nevada registered agent. However, once you decide to switch agents (or if your agent has resigned), you’ll need to act quickly, because not having a registered agent for your company is a violation of state law.

Your Agent Is Unreliable
If your registered agent isn’t able to get legal documents and notices to you on time, your business will suffer.
Unfortunately, this can happen when you appoint an individual as your registered agent or hire a service that forwards documents to you through the mail (instead of uploading them to an online account) or forces you to come and retrieve documents in person.

Second, if you work from a home office, it’s easy for scammers to find your address using the Nevada Business Database. Third, it could be embarrassing to get served a lawsuit in front of customers or at home.
Penalties for Not Maintaining a Registered Agent
Not having a Nevada registered agent can have negative repercussions for your business.
General Consequences:

Financial and Administrative Penalties:
The penalties for not complying with state law by operating without a registered agent are different for LLCs and corporations:
LLCs:
The Nevada Revised Statutes don’t list any specific penalties for LLCs. However, that doesn’t mean that the consequences won’t be serious. NRS 86.246.3 states that “the Secretary of State may take any action necessary” against a non-compliant LLC. This includes suspension or forced dissolution of the company.
Corporations:
Not maintaining a registered agent as a corporation may cost you. According to NRS 78.090.3, corporations that don’t comply with the registered agent requirement may need to pay a fine of at least $100 but not more than $500.

2. How to File a Statement of Change
You can file by mail, in person at the Secretary of State’s office in Carson City, or online. Expedited service is available for additional fees ($125 for 24-hour processing, $500 for two-hour processing, and $1000 for one-hour processing).
If you want to file in person but can’t make it to Carson City, you can hand-deliver expedited filings at the satellite office in Las Vegas. You can find the address listed in the instructions section of the Statement of Change of Registered Agent form.
When filing online, you’ll find the Statement of Change of Registered Agent form under “Miscellaneous Filings.”

Decide How to File Your Statement of Change of Registered Agent
1. Hire Us to File Your Statement
- Check the box that says “Hire Us to Change Your Registered Agent.”
- You don’t have to do anything beyond providing basic information about your company.
- We prepare and file your Statement of Change of Agent while you keep doing business as usual.
- The cost is $87: our $25 service fee plus $62 for the state filing fee + NV SOS card processing fee.
2. File on Your Own
- Don’t check the box that says “Hire Us to Change Your Registered Agent.”
- After signing up for your service, log in to your online account.
- Inside your account, under “Account” and then “Forms Library,” you’ll find a copy of the Statement of Change of Registered Agent by Represented Entity. Click on the “Mail” version of the form.
- When you’ve opened the “Mail” version of the form, you’ll see that our registered agent information has already been added to the “Newly Appointed Registered Agent” section and that the form is pre-signed. The form should also contain your company information, which you can edit as necessary.
- When you’re ready, download and print the PDF of your form.
- File this form with the NV Secretary of State and pay the $60 fee (plus $2 if you pay by card).

Change of Agent Registered Agent FAQ
Your Entity File Number is assigned by the Secretary of State. If you have forgotten your number, you can do a Business Entity Search on the SOS website. Their records will list your number.
If your Nevada registered agent resigns, you have 30 days in which to hire a new agent.
When legal or state documents are delivered to us as your registered agent, we scan those documents and then upload them to your online account. This allows you to view your docs immediately, no matter where you are. You don’t have to wait around for us to physically deliver them to you.
You can request to have documents physically sent to you for a $15 plus postage. However, if we receive service of process from the state containing a check for you, we automatically forward this to you so you can get your money ASAP.
If you would like a package sent to you, the charge will vary according to the dimensions of the package.
We scan any and all legal and state documents that are delivered to us as part of your registered agent service. However, sometimes regular mail items arrive at our door, too, especially if you are using our business address.
If that happens, we open and scan the mail item and then upload the scan to your online account, just like we do with legal and state docs. We send you an email notification about your mail, and you can log in and view it anytime.
As a courtesy, we give you 3 free regular mail scans. After that, we’ll continue to scan your mail as it arrives so that you don’t lose it, but you’ll need to pay a fee of $15 to view items or upgrade to a bigger Mail Forwarding package (all of our mail forwarding packages use digital mail forwarding).
Because we see many clients dealing with the fallout of missing their Nevada Annual Report (Annual List) filing, we include enrollment in our Compliance Service (called Renewal Service in your online portal). The state of Nevada requires you to submit an acceptance or consent form confirming that your new registered agent has agreed to serve as your agent. This form is called the Statement of Change of Registered Agent by Represented Entity.
If you’ve hired us as your new registered agent, but you didn’t hire us for Change of Agent Service, you’ll need to file this form on your own. However, we have provided you with a copy of the form pre-filled out with our information.
Inside your online account:
- Click on the “Account” drop-down menu. From there, click on “Forms Library.”
- Inside the library, you’ll find a document called “Change of Registered Agent by Represented Entity.” This is the document you want. Click “Select” next to the option for the Mail version of the form.
- You’ll be taken to a new page. At the top of the page, you’ll see “Online Filing – Change of Agent” and “Statement of Change of Registered Agent by Represented Entity.” Click on “Statement of Change of Registered Agent by Represented Entity.”
- A PDF copy of the form will appear in a pop-up window. This form should be pre-filled with your company information and our registered agent information. You’re able to edit the information as necessary. When you’re finished, click on “Download PDF” at the bottom right of the pop-up window to download a copy of this form that you can print and file with the Secretary of State.
